Due to the nature of our services — which involve the time of licensed professionals — all sales are generally final. Refunds may be issued at our sole discretion in the following circumstances: (a) we are unable to complete your document due to factors outside your control; (b) you cancel your order before a licensed reviewer has been assigned; or (c) there is a material error in the completed document that is attributable to us. The ExpertSigned website and its original content, features, and functionality are owned by ExpertSigned and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services or included software without our prior written consent. The completed documents we prepare for you are your property upon full payment.
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE DOCUMENTS WE PREPARE WILL BE ACCEPTED BY ANY GOVERNMENT AGENCY, INSURANCE COMPANY, OR OTHER THIRD PARTY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXPERTSIGNED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless ExpertSigned and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to our services; (b) your violation of any term of these Terms; (c) your violation of any third-party right; or (d) any claim that information you provided caused damage to a third party.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of our services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
We may terminate or suspend your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use our services will immediately cease.
